1. ABOUT THESE TERMS

These AI Terms of Use ("AI Terms") govern your access to and use of the Keyspire AI Real Estate Investor Assistant (the "AI Investor Assistant"), a personalized artificial intelligence feature offered by Keyspire Group Inc. ("Keyspire", "we", "us", or "our").

These AI Terms apply to all users of the AI Investor Assistant, including Accelerated Coaching clients who have signed the Keyspire AI Investor Assistant Supplemental Agreement and any other person who accesses or uses the AI Investor Assistant in any capacity.

These AI Terms are incorporated into and form part of the Keyspire Customer Terms of Service available at keyspire.com/customer-terms-of-service. By accessing or using the AI Investor Assistant in any way, you agree to these AI Terms. If you do not agree to these AI Terms, you may not access or use the AI Investor Assistant.

If you are an Accelerated Coaching client, you have also signed a separate AI Investor Assistant Supplemental Agreement. In the event of any conflict between these AI Terms and your Supplemental Agreement, the Supplemental Agreement will govern.

2. WHAT THE AI INVESTOR ASSISTANT IS

The Keyspire AI Investor Assistant is a personalized artificial intelligence tool built exclusively for each individual client.

The AI Investor Assistant is designed to function as a strategic thinking partner, practical educator, and accountability coach. It helps clients think through options, apply Keyspire frameworks to their situation, prepare for and debrief coaching sessions, generate a weekly Coach Bridge Summary to share with their Keyspire Results Coach, and maintain momentum between sessions. It does not replace a client's human coach or any qualified professional advisor.

Each client's AI Investor Assistant is unique to them. Clients may personalize their assistant by giving it a name. Access to the AI Investor Assistant is provided via a unique, personalized access link (the "Access Link") issued exclusively to each client.

3. WHAT THE AI INVESTOR ASSISTANT IS NOT

The AI Investor Assistant is NOT:

• A licensed financial advisor, investment advisor, or portfolio manager

• A licensed real estate agent or broker

• A lawyer or legal advisor

• An accountant or tax advisor

• A mortgage broker or lending advisor

• A replacement for your Keyspire human coach

Nothing produced by the AI Investor Assistant constitutes professional advice of any kind. You must never act on any AI output without first consulting a qualified professional appropriate to your decision.

4. ACCESS, TERM, AND PRICING

Access to the AI Investor Assistant is included in the Keyspire Accelerated Coaching Bundle for the initial twelve (12) month term. Following the initial term, continued access requires a separate annual AI Investor Assistant subscription at $299 CAD per year (or such other amount as Keyspire may designate upon thirty (30) days' written notice), which automatically renews annually unless cancelled in writing at least thirty (30) days prior to the renewal date.

The AI Investor Assistant and the Keyspire Inner Circle membership are separate products with separate fees and separate value. A client may maintain one without the other. Discontinuation of the AI Investor Assistant for any reason does not affect a client's Inner Circle membership or its pricing, and vice versa.

If a client's AI Investor Assistant access lapses or is terminated for any reason, they will lose access to their AI Investor Assistant. If access is subsequently reactivated, the client will receive a new AI Investor Assistant with no prior history, memory, or data from the previous configuration.

5. PERSONAL ACCESS LINK — CONFIDENTIALITY AND NON-SHARING

Your AI Investor Assistant is accessed via a unique, personalized Access Link issued exclusively to you. You acknowledge and agree that:

• Your Access Link provides direct access to your AI Investor Assistant, which contains your personal information, investor profile, financial data, goals, coaching history, and other sensitive information;

• Your Access Link is strictly personal and confidential. You must not share, distribute, publish, forward, or otherwise disclose your Access Link to any other person or entity under any circumstances;

• If you share your Access Link with any third party, that person will have unrestricted access to your personal data contained within your AI Investor Assistant. Keyspire accepts no responsibility or liability for any privacy breach, data exposure, or harm arising from your sharing of the Access Link;

• Sharing your Access Link constitutes a material breach of these AI Terms and may result in immediate termination of your access without refund;

• Your Access Link may only be used by you. Use of your Access Link by any other person — whether authorized by you or not — is a violation of these AI Terms and of Keyspire's intellectual property rights; and

• If you believe your Access Link has been compromised, shared without your authorization, or accessed by an unauthorized person, you must notify Keyspire immediately at [email protected] so that your existing Access Link can be deactivated and a new one issued.

6. INPUTS AND OUTPUTS

The AI Investor Assistant allows you to submit text, questions, data, and other content ("Inputs") and receive generated text and other content in response ("Outputs").

You are solely responsible for all Inputs you submit and all use of Outputs you receive. Keyspire is not responsible for any errors, omissions, or inaccuracies in any Outputs.

You grant Keyspire a perpetual, irrevocable, non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and process your Inputs and Outputs for the purposes of providing, operating, training, and improving the AI Investor Assistant and Keyspire's related services, provided that Keyspire will not share your Inputs or Outputs directly with other Keyspire clients.

7. ACCURACY AND LIMITATIONS

You understand and acknowledge that:

• The AI Investor Assistant may produce Outputs that are incomplete, inaccurate, out of date, biased, or otherwise unsuitable for your specific needs or circumstances;

• The AI Investor Assistant may provide different responses to the same or similar questions at different times;

• The AI Investor Assistant may not reflect the most current real estate market data, legislation, regulations, tax rules, or professional standards applicable to your location or situation;

• Outputs may not be unique — the AI Investor Assistant may generate the same or similar Outputs for different users;

• All Outputs are for educational and informational purposes only; and

• You must independently verify all Outputs before taking any action based upon them.

You expressly agree not to act on any Output from the AI Investor Assistant without first consulting with a qualified human professional appropriate to the decision being made. Keyspire is not responsible for any decisions you make in reliance on AI Investor Assistant Outputs.

8. OWNERSHIP OF THE AI INVESTOR ASSISTANT

The AI Investor Assistant — including all underlying technology, system prompts, instructions, configurations, Keyspire frameworks, methodologies, tools, and resources embedded within it — constitutes the valuable intellectual property and trade secrets of Keyspire Group Inc. and its licensors. All right, title, and interest in and to the AI Investor Assistant is exclusively owned by Keyspire.

Keyspire reserves the right to change, modify, update, or discontinue the AI Investor Assistant at any time.

9. PROHIBITED USES

You agree not to use the AI Investor Assistant in any of the following ways:

• To develop, train, or improve any competing artificial intelligence or machine learning product or service;

• To mislead any person into believing that an Output was solely created by a human being;

• For any activity designated as "high risk" under applicable law;

• To generate content that is illegal, harmful, harassing, defamatory, fraudulent, deceptive, or that promotes illegal acts;

• To infringe upon the intellectual property or other rights of any third party;

• To create deepfakes or impersonate any individual without their express consent;

• To submit or share sensitive personal data, confidential information, or trade secrets of any third party without the right to do so;

• To reverse engineer, decompile, disassemble, or otherwise attempt to derive the method of operation or configuration of the AI Investor Assistant;

• To copy, duplicate, reproduce, or attempt to replicate the AI Investor Assistant or any component thereof;

• To share, distribute, or disclose your Access Link to any other person or entity;

• To act directly on any Output without independently verifying it and consulting a qualified human professional;

• Using automated scripts or bots to interact with the AI Investor Assistant; or

• Upload, submit, or incorporate into any Input any sensitive personal data of a third party — including without limitation social security numbers, social insurance numbers, credit card or banking information, passwords or security credentials, or personal health information — without that person's express written consent; or

• In any manner that could damage, disable, overburden, or impair the AI Investor Assistant or Keyspire's systems.

10. THIRD-PARTY SERVICES

The AI Investor Assistant is powered by OpenAI, L.L.C. ("OpenAI"). By using the AI Investor Assistant, you acknowledge and agree that:

• Your Inputs will be transmitted to and processed by OpenAI for the purpose of generating Outputs;

• Your use of the AI Investor Assistant is also subject to OpenAI's then-current terms of use and privacy policy;

• Keyspire does not control, endorse, or assume responsibility for OpenAI's operations, availability, security, or privacy practices; and

• To the maximum extent permitted by law, Keyspire disclaims all liability arising from or related to OpenAI's processing of your Inputs or any interruption, change, or discontinuation of OpenAI's services.

11. DISCLAIMER OF WARRANTIES

THE AI INVESTOR ASSISTANT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. KEYSPIRE DOES NOT WARRANT THAT THE AI INVESTOR ASSISTANT WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR COMPLETE. YOUR USE OF THE AI INVESTOR ASSISTANT IS ENTIRELY AT YOUR OWN RISK.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Keyspire's total liability to you for any claim arising out of or related to the AI Investor Assistant or these AI Terms will not exceed the AI Investor Assistant subscription fees actually paid by you to Keyspire in the twelve (12) months immediately preceding the event giving rise to the claim.

IN NO EVENT WILL KEYSPIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS.

13. PRIVACY

Keyspire's collection, use, and disclosure of personal information in connection with the AI Investor Assistant is governed by Keyspire's Privacy Policy, available at keyspire.com/privacy-policy.

You acknowledge that in order to provide the AI Investor Assistant, Keyspire will load personal information you have provided during your coaching engagement — including your investor profile, coaching history, and goals — into your AI Investor Assistant configuration. You also acknowledge that your Inputs will be transmitted to and processed by OpenAI in accordance with OpenAI's privacy policy.

14. GOVERNING LAW

These AI Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Users located in the United States acknowledge and agree that they are accessing a Canadian service governed by Canadian law.

15. CHANGES TO THESE AI TERMS

Keyspire reserves the right to update these AI Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page;

• Post the updated AI Terms on this page; and

• Notify you by email or through your account at least thirty (30) days before any material change takes effect.

Your continued use of the AI Investor Assistant after the 30-day notice period constitutes your acceptance of the updated AI Terms. If you do not agree to the updated AI Terms, you must stop using the AI Investor Assistant before the changes take effect.
